Terms of Service

Welcome to RealEntity, a service provided by Stem Unit EOOD ("Stem Unit EOOD", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of RealEntity's AI-powered document generation platform, services, and software (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by:

• These Terms of Service
• Our Privacy Policy
• Our Intellectual Property & Licensing Policy (for Marketplace purchases and listings)
• Any additional terms, guidelines, or rules applicable to specific features or services

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 13 years old (or 16 years old in the European Economic Area) to use our Services. If you are under 18 years old, you must have permission from your parent or legal guardian.

2.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your password and account credentials
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities that occur under your account
• Not share your account credentials with others or allow others to access your account

3. Use of Services

3.1 License Grant

Subject to your compliance with these Terms, Stem Unit EOOD, through the RealEntity platform, grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

3.2 Acceptable Use

You agree to use our Services in compliance with all applicable laws, regulations, and these Terms. You agree not to:

• Illegal Activities: Use the Services for any unlawful purpose or to facilitate any illegal activity
• Harmful Content: Generate, upload, or distribute content that is defamatory, obscene, threatening, harassing, or discriminatory
• Child Safety (Zero Tolerance): Generate, upload, store, request, or transmit any child sexual abuse material (CSAM) or any sexual content that involves or depicts minors. Such content is strictly prohibited, is reported to the competent authorities, and results in immediate account termination
• Intellectual Property Infringement: Infringe on the intellectual property rights of others
• Malicious Use: Create malware, viruses, phishing content, or other harmful code or content
• System Abuse: Attempt to gain unauthorized access, disrupt, or interfere with the Services or other users
• Automated Scraping: Use bots, scrapers, or automated tools to access the Services without authorization
• Competitive Use: Use the Services in a manner that unfairly exploits or harms the platform, including unauthorized commercial replication of core functionality
• Resale: Resell, sublicense, or redistribute the Services without written permission
• Circumvention: Circumvent, disable, or bypass any technical security measures, digital rights management (DRM), access controls, rate limits, or other protective features of the Services or any content therein

3.3 Service Availability and Modifications

Stem Unit EOOD reserves the right to:

• Modify, suspend, or discontinue any aspect of the Services, where reasonably necessary, with or without prior notice depending on the circumstances
• Impose reasonable limits on features, storage, or usage as necessary for the operation of the Services
• Remove or refuse to process any content where reasonably necessary to operate, secure, or improve the Services at our sole discretion
• Terminate or suspend your account for violation of these Terms or where reasonably necessary to protect the Services, users, or comply with legal obligations
• Change pricing, features, or subscription terms with reasonable notice

3.4 Content Moderation

To keep the platform safe and lawful, we use automated and manual content moderation to detect and prevent prohibited content. Moderation applies both to text you submit (including prompts, chat messages, imported documents, and audio transcripts) and to files you upload, including images and images embedded within documents such as PDFs and Office files.

• Automated screening is performed with the assistance of third-party moderation providers acting as data processors on our behalf (see our Privacy Policy)
• Content that violates these Terms may be blocked, refused, or removed before or after processing, and may cause the related action to fail (for example, an upload being rejected or a document failing to be indexed)
• Authorized Trust & Safety personnel may review content that has been submitted to or processed by the Services
• Moderation systems are imperfect: we do not guarantee that all prohibited content will be detected, nor that all permitted content will pass. Such screening does not relieve you of your own responsibility to comply with these Terms

3.5 Enforcement, Suspension, and Account Holds

Depending on the nature and severity of a violation, we may apply graduated enforcement measures, including:

• Logging: recording the event for review and pattern detection
• Temporary suspension (cool-down): a time-limited block of a specific feature or category of services following repeated violations
• Account hold pending review: a block on AI features across your account while our team reviews the matter
• Manual suspension: suspension applied by our Trust & Safety team following review of submitted or uploaded content
• Permanent termination: closing the account for severe or repeated violations

A hold or suspension blocks access to the affected features for its duration. Suspensions arising from content-policy or legal violations are applied at our discretion and may take effect without prior notice where reasonably necessary or legally required. Account holds applied for legal-category violations cannot be lifted until our review is complete. Suspension or termination for violation of these Terms does not entitle you to any refund. You may contact [email protected] to appeal an enforcement action.

4. Intellectual Property

4.1 Personal Workspace Content

Content you create and store in your private workspace (not listed for sale on the Marketplace) remains your property. You retain all ownership rights to such personal content. By using our Services, you grant Stem Unit EOOD a worldwide, non-exclusive, royalty-free license to use, store, and process your personal content solely for the purpose of providing and improving our Services.

4.2 AI-Generated Content (Personal Use)

AI-generated content created for your personal workspace is provided to you under a permissive license for personal, educational, and internal business use, subject to applicable laws and these Terms. Stem Unit EOOD makes no representations or warranties regarding the originality, accuracy, or suitability of AI-generated content. For AI-assisted content listed for sale on the Marketplace, the terms of the Intellectual Property & Licensing Policy govern and supersede this section.

4.3 AI Content Disclaimers and Limitations

You acknowledge and agree that:

• No Accuracy Guarantee: AI-generated content may contain errors, inaccuracies, outdated information, or fabricated facts. We do not warrant the accuracy or reliability of any AI output
• No Legal or Professional Advice: AI-generated content does not constitute legal, financial, medical, or professional advice. You must consult qualified professionals for such matters
• Potential Copyright Issues: AI-generated content may inadvertently resemble copyrighted works. You are responsible for ensuring your use does not infringe third-party rights
• Bias and Limitations: AI systems may exhibit biases or limitations inherent in their training data. We are not liable for biased, offensive, or inappropriate AI outputs
• No Plagiarism Detection: We do not guarantee that AI-generated content is original or free from plagiarism
• User Responsibility: You must review, verify, fact-check, and edit all AI-generated content before use. You bear full responsibility for any consequences of using AI-generated content

4.4 Service Platform Rights

Stem Unit EOOD retains all rights, title, and interest in the RealEntity platform, software, algorithms, models, and infrastructure. This includes all intellectual property rights in:

• The RealEntity software, code, and architecture
• AI models, training methodologies, and algorithms
• Platform design, user interface, and features
• Documentation, tutorials, and support materials
• Trademarks, logos, and brand assets

4.5 Marketplace Content

When you list content for sale as an Author, or purchase content as a Buyer, through the RealEntity Marketplace, separate and additional terms apply under our Intellectual Property & Licensing Policy. That policy governs the license granted from Authors to Stem Unit EOOD, Buyer Standard Licenses, prohibited uses, Adaptation License requirements, and commission payments. In the event of any conflict between these Terms and the IP Policy with respect to Marketplace transactions, the IP Policy prevails.

5. Subscription and Billing

5.1 Subscription Terms

Certain features of our Services require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Provide accurate and complete payment information
• Authorize automatic renewal unless you cancel before the renewal date
• Comply with all subscription restrictions, usage limits, and fair use policies applicable to your plan

5.2 Tokens and Credits

Access to the AI features of our Services is metered in platform tokens ("Tokens"). A Token is a unit of measurement for your consumption of our computing and AI resources - the processing, model usage, and server load required to perform an operation. Tokens have no cash value, can be used solely to access features within the Services, and cannot be exchanged, transferred, or redeemed for cash. By purchasing or receiving Tokens, you acknowledge and agree that:

• Consumption: Each AI operation consumes a number of Tokens that varies by service, model, and the size or complexity of the request. All services draw from a single shared Token balance on your account
• Monthly (subscription) Tokens: Tokens included with a subscription plan are allocated for the current billing cycle, reset at the start of each cycle, and do not roll over or accumulate. Unused monthly Tokens are forfeited at the end of the cycle
• Purchased Token packages: Tokens bought as one-time packages or top-ups do not expire and remain available until consumed or until your account is closed or terminated in accordance with these Terms
• Rate changes: The number of Tokens required for a given operation may change over time as our Services and the underlying AI models evolve. We will provide reasonable notice of material changes to Token costs. Changes apply only to operations performed after they take effect and do not retroactively alter Tokens already consumed
• Usage measure only: Tokens are a measure of usage, not a balance you own, and grant only a revocable right to access the Services. They may not be sold, sublicensed, or transferred
• Errors and abuse: We may suspend, adjust, void, or reclaim Tokens granted or obtained through technical error, fraud, chargeback, or violation of these Terms

The refund treatment of Tokens and subscriptions is described in the Right of Withdrawal and No-Refund Policy below.

5.3 Right of Withdrawal and No-Refund Policy

Subject to the mandatory withdrawal waiver above and any non-waivable statutory rights under applicable EU consumer law, the following refund terms apply:

• Subscription Fees: Subscription payments are non-refundable once the billing period has commenced. By subscribing and consenting to immediate service access, you waive your right of withdrawal for that billing period. If you cancel, you retain access to paid features until the end of the current billing period, after which access reverts to the free tier or terminates. No partial-period refunds are issued
• One-Time Packages: One-time feature packages, tokens, and top-ups are non-refundable once delivered, as digital content is made immediately available upon payment. By completing the purchase you provide express consent to immediate delivery and acknowledge loss of withdrawal rights
• Marketplace License Purchases: All Marketplace license purchases are final and non-refundable. A digital license is made accessible to you immediately upon purchase. By completing the checkout flow - including the mandatory pre-purchase acknowledgment - you give prior express consent to immediate delivery and irrevocably waive your right of withdrawal under CRD Article 16(m). Disputes over Marketplace purchases must be raised with [email protected] within 14 days of the transaction date
• Exception - Genuine Service Failure: Notwithstanding the above, if Stem Unit EOOD fails to deliver the purchased digital content or service due to a technical fault solely attributable to Stem Unit EOOD (and not user error, network conditions, or third-party factors), you may request a remedy within 14 days. Stem Unit EOOD's sole obligation in such circumstances is to re-deliver the service or, at our discretion, issue a credit. This does not constitute a general right of withdrawal or refund
• Chargebacks: Initiating an unauthorized chargeback or payment reversal without first contacting Stem Unit EOOD constitutes a breach of these Terms and may result in immediate account suspension, permanent termination, and recovery of all amounts owed including any fees we incur as a result of the chargeback. We reserve the right to contest all chargebacks where a valid withdrawal waiver has been obtained
• Service Lapse: If your subscription lapses, is cancelled, or is terminated, Stem Unit EOOD may restrict access to and ultimately delete your stored content in accordance with our data retention practices. Stem Unit EOOD is not liable for any content loss following subscription lapse or termination

6. Disclaimers and Limitations of Liability

6.1 Service Disclaimers

The services are provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, Stem Unit EOOD disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of any content or information
• Warranties that the Services will be uninterrupted, timely, secure, or error-free
• Warranties that defects will be corrected or that the Services are free from viruses or harmful components
• Warranties regarding the results that may be obtained from use of the Services

6.2 Exclusion of Damages

To the maximum extent permitted by applicable law, in no event shall Stem Unit EOOD, its affiliates, officers, directors, employees, agents, or licensors be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access, use, or alteration of your content
• Damages resulting from service interruptions, errors, or delays
• Damages resulting from AI-generated content inaccuracies or errors
• Damages resulting from third-party services or content
• Damages resulting from your reliance on any information obtained through the Services

These limitations apply regardless of the legal theory on which the claim is based (whether contract, tort, negligence, strict liability, or otherwise), even if Stem Unit EOOD has been advised of the possibility of such damages.

6.3 Liability Cap

6.4 Force Majeure

Stem Unit EOOD shall not be liable for any failure to perform or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, epidemics, or pandemics
• War, terrorism, civil unrest, or government actions
• Internet or telecommunications failures not caused by Stem Unit EOOD
• Power outages, hardware failures, or third-party service disruptions
• Cybersecurity attacks, DDoS attacks, or unauthorized access by third parties
• Labor disputes, strikes, or lockouts

7. Indemnification

You agree to indemnify, defend, and hold harmless Stem Unit EOOD, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Services
• Your violation of these Terms or any applicable laws or regulations
• Your content or any content you submit, post, or transmit through the Services
• Your infringement of any intellectual property or other rights of any third party
• Your violation of any rights of another user
• Any claims that your use of AI-generated content caused harm or violated rights
• Your negligence, willful misconduct, or fraudulent acts

8. Dispute Resolution

8.1 Informal Resolution

Before initiating legal proceedings, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

8.2 Applicable Jurisdiction

Nothing in these Terms limits your rights as a consumer under applicable law. You may bring claims before the competent courts of your country of residence or the courts of the Republic of Bulgaria.

8.3 EU Online Dispute Resolution

9. Termination

Stem Unit EOOD may suspend or terminate your access to the Services at any time, where reasonably necessary, including in cases of violation of these Terms, legal obligations, or protection of the Services and other users, with immediate effect where reasonably necessary. This includes the right to:

• Terminate accounts that violate these Terms
• Remove or refuse to display any content
• Suspend access during investigations of alleged violations
• Permanently ban users for repeated or severe violations

Upon termination, your right to use the Services will immediately cease. Termination does not entitle you to a refund, except where required by applicable law. Stem Unit EOOD is not liable to you or any third party for termination of your access for any reason. Any content stored in your account may be permanently deleted within 90 days of account termination. Sections relating to limitations of liability, indemnification, intellectual property, and dispute resolution shall survive termination.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria. Any legal action or proceeding arising under these Terms shall be brought in the courts of the Republic of Bulgaria, unless applicable consumer protection law allows you to bring proceedings in your country of residence. Nothing in these Terms affects your statutory rights as a consumer under applicable law.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification for significant changes (at our discretion)

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

12. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. These Terms, together with the Privacy Policy and any other legal notices published by Stem Unit EOOD, constitute the entire agreement between you and Stem Unit EOOD concerning the Services.
