This Intellectual Property & Licensing Policy ("IP Policy") governs all intellectual property rights, licensing arrangements, and content ownership on the RealEntity Marketplace operated by Stem Unit EOOD ("Stem Unit", "we", "us"). This policy applies to all authors who list content for sale and all buyers who purchase content through our platform.

Platform Role & Merchant of Record

  • Stem Unit acts as the sole merchant of record for all transactions on the RealEntity Marketplace. Buyers purchase licenses directly from Stem Unit, and not from Authors.
  • Stem Unit is responsible for processing payments, handling refunds, and providing customer support related to purchases. Authors are compensated separately by Stem Unit under a revenue-sharing agreement and are not parties to the transaction between the Buyer and Stem Unit.
  • There are no direct financial transactions between Buyers and Authors on the platform.
  • For the purposes of all transactions, Stem Unit is the sole contracting party with Buyers.

2. Definitions

  • "Author" or "Creator": Any user who creates and lists content for sale through the RealEntity Marketplace
  • "Buyer" or "Licensee": Any user who purchases a license to use content from the RealEntity Marketplace
  • "Listed Content": Any document, paper, novel, story, essay, contract template, or other written work made available for sale on the Marketplace
  • "Standard License": The default, non-exclusive, non-transferable license granted to Buyers upon purchase, as described in Section 3
  • "Adaptation License": An optional expanded license for derivative works, theatrical, film, audio-visual, or other media adaptations, available only by separate written agreement
  • "Commission": The percentage of net sale revenue paid monthly to Authors for sales of their Listed Content
  • "Platform" or "Stem Unit": Stem Unit, the company operating the RealEntity platform and Marketplace

3. Author & Creator Terms

3.1 License Grant to Stem Unit

By listing any content for sale on the RealEntity Marketplace, you (the Author) grant Stem Unit a non-exclusive, worldwide, sublicensable license to:

  • Reproduce, display, and distribute your Listed Content on the RealEntity platform
  • Sell Standard Licenses to Buyers on your behalf
  • Promote and market your Listed Content, including creating sample excerpts and previews
  • Archive, store, and back up your Listed Content for operational continuity
  • Negotiate and execute Adaptation Licenses with prospective licensees, subject to Author notification and agreement
3.2 Author Retains Copyright Ownership

Notwithstanding the non-exclusive, sublicensable license grant, you retain the underlying copyright ownership of your original creative work. Stem Unit does not claim copyright ownership of your Listed Content. You remain the copyright holder and retain all moral rights as permitted by applicable law.

3.3 Author Warranties and Representations

By listing content, you represent and warrant that:

  • You are the sole original author and copyright holder, or you have all necessary rights and permissions to grant the license described herein
  • The Listed Content does not infringe any third-party intellectual property rights, including copyright, trademark, or trade secrets
  • The Listed Content does not contain defamatory, obscene, harassing, or unlawful material
  • Where AI tools assisted in the creation of your content, you have substantially edited, reviewed, and take full creative and legal responsibility for it
  • You have not previously granted exclusive rights to the same content to any third party that would conflict with this license
  • The Listed Content is not an unauthorized translation or derivative of another copyrighted work
3.4 Commission and Payments

Stem Unit will pay Authors a commission based on net revenue generated from sales of their Listed Content:

  • Commission Rate: As specified in your Author Agreement or account settings at the time of listing. The commission rate may vary by content type or promotional arrangement
  • Payment Schedule: Commissions are calculated and paid on a monthly basis, typically within 30 days after the end of each calendar month
  • Minimum Threshold: Payments are processed once your balance meets the minimum payout threshold specified in your account settings
  • Chargebacks and Refunds: Commissions attributable to refunded sales will be deducted from the next payment cycle
  • Tax Obligations: You are solely responsible for all taxes applicable to commission income. Stem Unit may request tax documentation (e.g., W-9 or W-8BEN equivalent) as required by law, and may be required to withhold taxes in certain jurisdictions
3.5 Delisting and Removal

You may request to delist your content from the Marketplace at any time. Upon delisting:

  • No new Standard Licenses will be sold, but all previously granted valid Standard Licenses to Buyers remain in full effect perpetually
  • The non-exclusive, sublicensable license granted to Stem Unit terminates upon delisting, subject to fulfilment of existing buyer licenses and any outstanding Adaptation Licenses
  • Commissions owed for sales prior to delisting will be paid per the regular monthly payment schedule
  • Stem Unit reserves the right to immediately suspend or permanently remove any Listed Content that violates this IP Policy, the Terms of Service, or applicable law, with or without prior notice

4. Buyer & Licensee Terms

4.1 What You Receive: Standard License

Upon purchasing content from the RealEntity Marketplace, you receive a personal, non-exclusive, non-transferable Standard License to use the content within the parameters defined below. This is a license to use the work - not an ownership or copyright transfer. The copyright remains with the original Author; Stem Unit holds the non-exclusive, sublicensable license.

4.2 Permitted Uses (Standard License)
  • Personal Use: Read, review, study, and print for your own personal use
  • Educational Use: Use in personal academic coursework, private study, or non-commercial research, with full attribution to RealEntity and the Author
  • Internal Business Use: Use within a single organization for internal presentations, planning, or reference - not for public distribution or external client deliverables
  • Digital Display: Display on personal websites or private intranets, with clear attribution
  • Quotation and Reference: Quote excerpts of up to 500 words in original derivative works with full attribution stating the source and Author name
4.3 Prohibited Uses (Standard License)
  • Resale or Redistribution: Sell, give away, share, upload, post, or otherwise distribute the document file, its text, or any substantial portion thereof to any third party in any format
  • Film, Television & Streaming Adaptation: Adapt, optify, develop, produce, or base any film, television series, streaming production, short film, or web series on the content - this requires a separate Adaptation License
  • Stage, Audio & Radio: Adapt the content for theatrical stage performance, radio broadcast, audio drama, podcast narrative, or any live or recorded performance
  • Merchandise and Products: Use the content, characters, story elements, or concepts as the basis for physical or digital merchandise, games, toys, apparel, or any branded products
  • Commercial Publishing: Publish, republish, or incorporate the content (or any substantial portion) into a commercial book, e-book, magazine, blog, newsletter, or any other publication intended for distribution or sale
  • Sub-Licensing or Assignment: Grant, assign, lease, lend, sell, or transfer your license rights to any third party under any circumstances whatsoever
  • Attribution Removal: Remove, alter, obscure, or replace any copyright notices, Author credits, RealEntity watermarks, or other ownership statements
  • False Authorship: Claim, imply, or represent to any third party that you are the author of the purchased content
  • Client or Public Distribution: Distribute the content to clients, customers, or the public - even for free - without a separate multi-seat or distribution license agreement with Stem Unit
4.4 Adaptation License (Expanded Rights)

Any use involving adaptation, derivative works, theatrical, film, audio-visual, or media production requires a separate written Adaptation License, which must be obtained from Stem Unit before any such use commences.

  • Adaptation Licenses are negotiated individually and require Author notification and approval
  • Additional fees apply; terms vary based on the nature, scope, commercial value, and territory of the intended adaptation
  • Stem Unit facilitates the negotiation and administers the Adaptation License on behalf of the Author
  • Commencing any adaptation without an executed Adaptation License constitutes copyright infringement regardless of intent

4.5 License Duration and Termination

Your Standard License is perpetual (no expiry) for the permitted uses, provided you remain in compliance with this IP Policy. The license terminates automatically and immediately if:

  • You violate any term of this IP Policy or the Terms of Service
  • Your account is suspended or terminated for any reason
  • Stem Unit determines that your use constitutes infringement, abuse, or a prohibited use

Upon termination, you must immediately delete all copies of the Licensed Content in your possession. Any continued use following termination constitutes willful copyright infringement.

5. Platform Intellectual Property

Stem Unit owns all intellectual property rights in the RealEntity platform itself, including:

  • The RealEntity software, code, architecture, and algorithms
  • AI writing and generation models developed or trained by Stem Unit
  • Platform design, user interface, and user experience elements
  • The RealEntity brand, trademarks, service marks, logos, and domain names
  • All documentation, marketing materials, and website content produced by Stem Unit

Nothing in this IP Policy grants you any rights in Stem Unit's platform intellectual property. You may not copy, reverse engineer, decompile, or create derivative works from the RealEntity platform.

6. AI-Generated Content

6.1 AI Assistance Disclosure

RealEntity is an AI-assisted writing platform. Content listed on the Marketplace may have been created with AI assistance. Authors are required to:

  • Disclose when AI tools were used in the creation of Listed Content
  • Substantially review, edit, and take creative and legal responsibility for all Listed Content
  • Not list purely AI-generated content without meaningful, substantial human creative input, editing, and original expression
6.2 Copyright Status of AI-Assisted Works

Stem Unit is not liable for any third-party copyright claims, US Copyright Office registration challenges, or infringement actions relating to the AI-generated or AI-assisted components of any Listed Content sold on the Marketplace. Authors who list AI-assisted content do so entirely at their own legal risk and agree to indemnify Stem Unit against any and all claims, costs, damages, and legal expenses arising from the copyright status, originality, or enforceability of such content. Buyers acknowledge that the legal protectability of AI-assisted content may be uncertain or limited in their jurisdiction, and Stem Unit makes no warranty or guarantee in this regard.

7. Infringement Claims

Stem Unit respects intellectual property rights and expects all users to do the same. We process intellectual property complaints in accordance with applicable laws of the European Union, including the Digital Services Act (DSA), as well as other relevant national legislation. If you believe that content available on the RealEntity Marketplace infringes your intellectual property rights, you may submit a notice to:

Your notice should include the following information: (1) Identification of the intellectual property right claimed to be infringed (e.g. copyright, trademark) (2) A clear description of the allegedly infringing content and its location (URL) on the platform (3) Your name and contact details (email address and, where applicable, postal address) (4) A statement that you have a good faith belief that the use of the content is not authorized by the rights holder, its agent, or applicable law (5) A statement that the information provided is accurate and that you are the rights holder or authorized to act on their behalf

Where appropriate, Stem Unit may notify the user who provided the content and allow them to respond in accordance with applicable law.

Stem Unit may request additional information before taking action and reserves the right to reject incomplete or manifestly unfounded notices.
